TERMS AND CONDITIONS  

Ordering, Service, and Event Policies

What We Provide

 

COLD BOARD provides gourmet charcuterie boards, boxes, and grazing displays that may include cured meats, cheeses, dried fruits, nuts, breads, crackers, and other accompaniments, arranged for visual appeal and guest enjoyment.

 

We generally provide:

1. Gourmet cured meats, cheeses, dried fruits, nuts, and other accompaniments, subject to availability.

2. Eco-friendly service products, which may include biodegradable boards, packaging, cutlery, mini plates, utensils, serving knives, and napkins.

3. Plastic items only when specifically requested by the client.

4. Boards that are hand-crafted and made to order.

 

Portion Guidelines

 

Portion sizes are approximate and for planning purposes only. Actual consumption will vary by guest.

 

1. Meal Size: Approximately 6 oz of charcuterie and 8 oz of accompaniments per person, with complimentary bread and crackers.

2. Appetizer Size: Approximately 4 oz of charcuterie and 5 oz of accompaniments per person, with complimentary crackers.

 

Selections and Substitutions

 

Charcuterie and accompaniment selections may vary based on seasonality, availability, and vendor supply. COLD BOARD reserves the right to make reasonable substitutions of comparable quality and value without prior notice, when necessary.

 

Complimentary Setup

 

For orders totaling $600 or more, COLD BOARD will provide complimentary presentation and setup at the event location, within the standard service area, unless otherwise agreed in writing.

 

Ordering and Payment

 

1. Order Notice  

   All orders require a minimum of 72 hours’ notice. Rush requests may be accepted at COLD BOARD’s sole discretion and may be subject to additional fees.

 

2. Custom Orders  

   All boards are made to order and delivered to the address provided by the client or picked up by the client at the agreed location and time.

 

Deposit and Final Payment

 

1. A nonrefundable deposit of 50% of the total order amount is required no later than 7 days before the event.

2. The remaining balance is due no later than 4 hours prior to the scheduled delivery or pickup time.

3. Orders are not considered confirmed until the deposit is received.

 

Payment Methods

 

COLD BOARD currently accepts PayPal as the primary method of payment. Additional payment methods may be added or changed at any time at COLD BOARD’s discretion.

 

Non-Payment and Late Final Payment

 

If the final payment is not received in full at least 4 hours before the scheduled delivery or pickup time:

1. COLD BOARD may cancel the order at its sole discretion.

2. The client’s deposit will be forfeited.

3. COLD BOARD shall have no further obligation to provide products or services for that order.

 

Cancellation Policy

 

1. Cancellations 48 Hours or More Before Event  

   If the client cancels at least 48 hours before the scheduled event time, COLD BOARD will provide a refund of all amounts paid, including the deposit, less any nonrefundable, special-order, or custom items already purchased specifically for the event. Any such nonrefundable amounts will be disclosed to the client upon request.

 

2. Cancellations Less Than 48 Hours Before Event  

   If the client cancels less than 48 hours before the scheduled event time:

   a. A minimum cancellation fee of $100 will apply.  

   b. COLD BOARD may also retain an additional amount, up to the full deposit, to cover perishable items and costs already incurred.

 

3. Cancellations Within 4 Hours of Delivery or Failure to Pay Remaining Balance  

   If the client cancels within 4 hours of the scheduled delivery or pickup time, or fails to pay the remaining balance when due:

   a. Delivery or pickup will be canceled.  

   b. The full deposit will be forfeited.  

   c. COLD BOARD will have no obligation to reschedule or provide products for that order.

 

Delivery and Service Area

 

1. Standard Delivery Fee  

   A flat $10 delivery fee applies within the standard service area, unless otherwise stated in writing.

 

2. Service Area  

   COLD BOARD’s standard delivery area is within 20 miles of Loveland, Ohio.

 

3. Free Delivery  

   For orders totaling $500 or more (before tax and fees), COLD BOARD offers free delivery within the greater Cincinnati area, as defined by COLD BOARD. COLD BOARD reserves the right to determine whether a specific address qualifies for free delivery.

 

4. Timing  

   COLD BOARD will make reasonable efforts to deliver within the agreed time window. Minor delays due to traffic or circumstances outside COLD BOARD’s control do not constitute a breach of contract.

 

Pickup Option

 

Instead of delivery, clients may elect to pick up their orders at COLD BOARD’s location in Loveland, Ohio, at a mutually agreed date and time. Once the order is picked up and leaves COLD BOARD’s possession, risk of loss and responsibility for safe transport and storage passes to the client.

 

Food Safety and Perishable Products

 

1. Perishable Items  

   COLD BOARD products contain perishable items. For best quality and safety, products should be consumed as soon as reasonably possible and on the same day of delivery or pickup.

 

2. Post-Delivery Responsibility  

   Once an order is delivered to the client, the client’s representative, or the event location designated by the client, or picked up by the client:

   a. COLD BOARD has fulfilled its delivery obligation.  

   b. Proper handling, storage, and food safety are the sole responsibility of the client.  

 

3. Storage Recommendation  

   Unless otherwise specified on the packaging or in writing:

   a. Boards should be kept refrigerated until service.  

   b. Boards may be removed from refrigeration and allowed to sit at room temperature for approximately 45 minutes prior to consumption for best taste.  

   c. COLD BOARD is not responsible for any illness, spoilage, or quality concerns resulting from improper storage, extended time at room temperature, or failure to follow safe food handling practices after delivery or pickup.

 

Dietary Needs, Allergens, and Ingredients

 

1. Dietary Accommodations  

   When requested in advance, COLD BOARD can create boards tailored to certain dietary preferences or restrictions, such as:

   a. Gluten-free  

   b. Vegetarian  

   c. Vegan  

   d. Nut-conscious (reduced or separate nut items, as feasible)  

   e. Keto  

   f. Other requests, when reasonably possible  

 

   While COLD BOARD will make good faith efforts to honor such requests, COLD BOARD cannot guarantee a completely allergen-free environment or products.

 

2. Allergens  

   COLD BOARD products may contain or come into contact with common allergens, including but not limited to nuts, peanuts, tree nuts, dairy, gluten, wheat, soy, eggs, sesame, and meat products.

 

3. Client Responsibility for Allergies  

   a. It is the client’s responsibility to inform COLD BOARD in writing of any known allergies or serious dietary restrictions at the time of booking.  

   b. It is the client’s responsibility to communicate any allergen information to all guests.  

 

4. Assumption of Risk  

   By placing an order, the client acknowledges and accepts the risk of potential allergen exposure and agrees that, to the fullest extent permitted by Ohio law, COLD BOARD is not liable for any allergic reactions or related health issues arising from consumption of its products at or after the event.

 

Freshness, Sourcing, and Product Quality

 

1. Preparation and Sourcing  

   a. Boards are arranged to order.  

   b. COLD BOARD primarily uses pre-packaged foods purchased from third-party vendors, generally 1–2 days before the event date.  

   c. Items are typically unpacked and arranged on the same day as delivery or pickup.

 

2. Third-Party Vendor Responsibility  

   COLD BOARD is not responsible for:

   a. The manufacturing, packaging, or labeling of third-party food products.  

   b. Any contamination, spoilage, or defect that occurred before COLD BOARD’s purchase.  

 

   To the fullest extent permitted by law, COLD BOARD disclaims any liability arising from third-party vendor products that were properly stored and used by COLD BOARD in accordance with reasonable food safety practices.

 

Client Responsibilities and General Liability

 

1. Scope of Responsibility  

   COLD BOARD is responsible only for services and products provided directly by COLD BOARD under the client’s order.

 

2. Other Vendors  

   COLD BOARD is not liable for the acts, omissions, services, or products of any other vendors or service providers hired by the client.

 

3. Exclusion of Certain Damages  

   In no event shall COLD BOARD be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of events, profits, business opportunities, or reputation.

 

Damage or Loss of Property

 

1. COLD BOARD Property  

   The client agrees to exercise due care when using any COLD BOARD property or rental items, which may include wooden display boards, stands, serving pieces, and rental equipment.

 

2. Items That Become Client Property  

   All palm-leaf biodegradable trays, disposable utensils, disposable glassware, and any table covers used for presentations become the property of the client upon delivery or completion of service and are excluded from return obligations.

 

3. Responsibility for Loss or Damage  

   The client is responsible for:

   a. Any loss of or damage to COLD BOARD’s equipment, display items, or rentals while in the client’s possession or control.  

   b. Paying up to the full replacement value of each missing or damaged item, as reasonably determined by COLD BOARD.

 

Conduct and Safe Working Environment

 

1. Event Settings  

   The client agrees to provide a safe, respectful, and appropriate working environment for COLD BOARD staff at all times.

 

   If COLD BOARD staff, or a reasonable bystander, perceives:

   a. A threat or implied threat of harm or injury.  

   b. Dangerous, unsanitary, or otherwise unsafe conditions for staff or equipment.

 

   Then COLD BOARD reserves the right to:

   a. Immediately cease services.  

   b. Leave the event location.  

   c. Retain all payments made up to that point.  

 

   In such cases, COLD BOARD will not be liable for any resulting incomplete services or impact on the event.

 

2. Non-Event and Professional Interactions  

   The client agrees to maintain a professional and respectful manner in all communications with COLD BOARD staff.

 

   If there is:

   a. Harassing, abusive, discriminatory, or unprofessional language or behavior.  

   b. Any expressed or implied threat.

 

   COLD BOARD will first make reasonable efforts to notify the client and allow an opportunity to correct the situation, if appropriate. If the behavior continues or is severe, COLD BOARD may:

   a. Stop providing services.  

   b. Be held harmless for any incomplete work or impact on quality.  

   c. Require full payment for services rendered and work prepared up to that point, whether or not services resume.

 

Acts Beyond Our Control (Force Majeure)

 

COLD BOARD is not responsible for delays, cancellations, or non-performance caused by events beyond its reasonable control, including but not limited to:

1. Acts of God, severe weather, or natural disasters.  

2. Acts of government or public authority, including national or local emergencies.  

3. Pandemics, epidemics, major illness, or public health emergencies.  

4. Accidents, transportation disruptions, power outages, or infrastructure failures.  

5. Death, serious illness, or other sudden tragic circumstances involving key personnel.  

 

In such cases, COLD BOARD will:

1. Make reasonable efforts, when feasible and with the client’s approval, to secure a qualified professional replacement or alternative solution at no additional charge to the client, or  

2. Offer to reschedule the order or provide a credit toward a future event, if appropriate under the circumstances.

 

Limitation of Liability

 

To the fullest extent permitted by Ohio law:

1. COLD BOARD’s total aggregate liability for any claim arising out of or relating to an order or services provided to the client shall not exceed the total amount actually paid by the client to COLD BOARD for that specific order.

2. COLD BOARD is not liable for:

   a. Any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of events, profits, or reputation.  

   b. Any issues arising from improper handling, storage, or use of products after delivery or pickup by the client or the client’s representatives.  

 

Entire Agreement and Changes to Terms

 

1. Entire Agreement  

   These Terms, together with any written quote, proposal, or invoice issued by COLD BOARD, constitute the entire agreement between the client and COLD BOARD regarding the order and supersede all prior or contemporaneous understandings, whether written or oral.

 

2. Changes to Terms  

   COLD BOARD may update these Terms from time to time. The version of the Terms in effect on the date the client places the order will apply to that order.

 

3. Modifications to an Order  

   Any changes, additions, deletions, or revisions to a specific order or to these Terms as applied to that order must:

   a. Be made in writing, and  

   b. Be approved by COLD BOARD and the client.

 

Agreement to Terms

 

By engaging COLD BOARD’s services in any manner, including but not limited to in person, by phone, by email, via social media, or through any website or ordering platform, the client acknowledges and agrees that:

1. They have read and understand these Terms and Conditions.  

2. They agree to be bound by these Terms and Conditions.  

3. They have authority to enter into this agreement on behalf of themselves or the entity they represent.

 

Governing Law and Dispute Resolution

 

1. Governing Law  

   This agreement is governed by the laws of the State of Ohio, without regard to its conflict-of-law principles.

 

2. Venue  

   Any legal action, claim, or proceeding arising out of or relating to this agreement or COLD BOARD’s services shall be brought exclusively in a court of competent jurisdiction located in Warren County, Ohio.

 

3. Attorneys’ Fees  

   Each party will be responsible for its own attorneys’ fees and costs, except where Ohio law specifically allows the prevailing party to recover such fees and costs.
